The agreement is based on a joint performance of $42 million in cumulative aggregate net sales through the first thirty-six months. It is expected that generally, the two companies will share revenues on a predicted 50/50 basis in the integrated delivery network market and with drkoop.com's customers. Other markets will also be available to the companies and revenue sharing will vary according to product mix.

Under the terms of the agreement, drkoop.com's 2 million registered users will gain access to a number of new services, including personalized health content, as well as alerts, reminders and notifications to educate and inform customers based on their individual profiles and interests; physician workflow applications, designed to provide enhanced capability for patients, physicians and care managers, to request and automate tasks such as school health forms, send reminders, request refills and exchange administrative information to improve patient input, save time and extend patient convenience; and online "MedWizards", designed to allow patients to assess and track their health and update their personal health records with new information and outcomes. In addition, patients are able to authorize their physicians to access and contribute to their personal health profile, therefore creating a record that helps facilitate prevention, wellness and care coordination.
